Please read these Terms and Conditions carefully before accessing or using the Clothes Bazzar platform, including our website (clothesbazzar.in), mobile application, seller panel, and any associated services. By registering, accessing, or using our Platform in any capacity, whether as a buyer, seller, or visitor, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
Definitions & Interpretation
In these Terms, the following words and expressions shall have the meanings assigned to them below unless the context otherwise requires:

| "Buyer" | Any individual who uses the Platform to browse, discover, and purchase clothing products listed by Sellers. |
| "Listing" | Any product entry created by a Seller on the Platform, including product description, images, price, size information, and related details. |
| "Order" | A confirmed purchase transaction initiated by a Buyer for one or more Listings on the Platform. |
| "Commission" | The percentage of the transaction value charged by the Company to the Seller for facilitating each Order on the Platform. |
| "Settlement" | The payment made by the Company to the Seller after deducting applicable Commission, TCS, and any other charges, following delivery confirmation. |
| "Return" | A request initiated by a Buyer to send back a delivered product to the Seller under the Platform's return policy. |
| "GST" | Goods and Services Tax as applicable under the laws of India. |
| "TCS" | Tax Collected at Source under Section 52 of the CGST Act, 2017, applicable to e-commerce operators. |
Eligibility & Account Registration
2.1 Eligibility
To access and use this Platform, you must meet all of the following eligibility requirements:
- You must be at least 18 years of age. Individuals below 18 may use the Platform only under the supervision of a parent or legal guardian who accepts these Terms on their behalf.
- You must be legally capable of entering into a binding contract under the Indian Contract Act, 1872.
- You must not have been previously suspended, banned, or removed from the Platform for violation of terms.
- If registering as a business entity (Seller), you must have the legal authority to bind that entity to these Terms.
2.2 Account Registration
Registration is required to make purchases as a Buyer and mandatory for all Sellers. During registration, you agree to:
- Provide accurate, complete, and current information including your name, email address, mobile number, and (for Sellers) your business details and GSTIN.
- Maintain the confidentiality of your account credentials. You are solely responsible for all activities that occur under your account.
- Notify the Company immediately at legal@clothesbazzar.in if you suspect any unauthorized access to your account.
- Not create multiple accounts for the same individual or entity without prior written consent from the Company.
- Not transfer, share, or sell your account access to any third party.
2.3 Account Verification
The Company reserves the right to verify your identity and/or business credentials at any time using KYC documentation, including government-issued photo ID, business registration documents, bank account details, and GST registration certificate. Failure to provide requested documentation may result in account suspension or termination.
Seller Terms & Obligations
3.1 Seller Registration & Onboarding
Any individual or business wishing to sell products on Clothes Bazzar must complete the Seller registration process, which includes submitting business details, identity documents, bank account information, and (where applicable) GST registration details. The Company reserves the right to approve, reject, or suspend any Seller application at its sole discretion.
3.2 Seller Representations & Warranties
By registering as a Seller, you represent and warrant that:
- You have full legal right and authority to sell all products listed on the Platform.
- All products listed are genuine, accurately described, and comply with all applicable Indian laws and regulations.
- Products do not infringe upon any third-party intellectual property rights, including trademarks, copyrights, or design patents.
- Products comply with the Consumer Protection Act, 2019, the Legal Metrology Act, and any other applicable consumer protection legislation.
- You will maintain adequate inventory and fulfill Orders within the committed timelines.
- You possess all necessary licenses, permits, and registrations required for your business and product category.
3.3 Prohibited Listings
Sellers are strictly prohibited from listing the following on the Platform:
- Counterfeit, fake, or replica products misrepresented as genuine branded items.
- Products with misleading descriptions, fabricated reviews, or false size/material claims.
- Products violating intellectual property rights of any brand or designer.
- Hazardous materials or clothing items that do not comply with safety standards.
- Second-hand or pre-worn clothing items unless listed in a designated 'Pre-Loved' category (if applicable).
- Products prohibited under Indian law, including items with hate speech, obscene imagery, or offensive content.
3.4 Seller Performance Standards
- Order fulfillment rate of at least 95%; confirmed orders must be shipped within the committed timeline.
- Cancellation rate must not exceed 5% of total orders in any rolling 30-day period.
- Product return rate due to quality issues or misdescription must not exceed 10%.
- Response time to buyer queries must be within 24 hours on business days.
Sellers who consistently fail to meet performance standards may face reduced listing visibility, temporary account suspension, or permanent deactivation at the Company's sole discretion.
Buyer Terms & Obligations
4.1 Buyer Conduct
As a Buyer on the Platform, you agree to:
- Purchase products only for personal use or for resale if you are a registered business buyer. You must not misrepresent your purchase intent.
- Provide accurate delivery address and contact information at the time of placing an Order.
- Not initiate false, fraudulent, or malicious return requests. Return requests must be genuine and supported by legitimate evidence.
- Not abuse the return or refund system. Buyers found engaging in return fraud will be permanently banned and may be reported to law enforcement.
- Not engage in chargeback fraud or unauthorized payment reversals.
- Treat Sellers, delivery personnel, and Platform representatives with respect.
4.2 Order Cancellation by Buyer
Buyers may cancel an Order within the cancellation window (typically before the order is dispatched by the Seller). Once an order has been shipped, cancellation is not permitted. Cancellation terms may vary by product category. Refunds for cancelled orders will be processed within 5-7 business days.
4.3 Buyer Return Fraud Policy
ZERO TOLERANCE POLICY: Clothes Bazzar has a zero-tolerance policy toward return fraud. Any Buyer who returns a different product, a used product, a damaged product, or an empty package will be permanently banned from the Platform. The Company reserves the right to file a criminal complaint under the Indian Penal Code (IPC) for fraud, cheating, and misappropriation of property.
Products, Listings & Catalog Standards
5.1 Listing Standards
All product listings must comply with the Company's Catalog Standards Policy. Key requirements include:
- Product title must clearly state the product type, brand (if applicable), color, and primary material.
- A minimum of 3 high-resolution product images are required. At least one must be on a white background.
- Accurate size charts and fabric composition must be provided for all clothing items.
- HSN code must be correctly assigned to the product.
- MRP (Maximum Retail Price) must be clearly mentioned and must not exceed the price at which the product is sold elsewhere.
5.2 Product Authenticity
The Company does not sell products directly to Buyers. All products are sold by independent Sellers. The Company does not guarantee the authenticity, quality, safety, or accuracy of products listed by Sellers. However, the Company takes product authenticity seriously and will investigate all complaints. Sellers found to be selling counterfeit or misrepresented products will be immediately delisted and may face legal action.
Pricing, Payments & Commissions
6.1 Commission Structure
The Company charges a commission on each successfully completed Order. The commission rate varies by product category and may be updated from time to time with prior notice to Sellers. Commission rates are displayed clearly in the Seller Dashboard. There are no hidden charges. The commission invoice is provided to the Seller with each settlement.
6.2 Payment Gateway & Processing
All payments are processed through secure, PCI-DSS compliant third-party payment gateways. The Company does not store complete payment card information. Buyers may pay using debit/credit cards, UPI, net banking, wallets, and EMI options. In the event of payment failure, the amount will not be deducted. If deducted erroneously, it will be refunded within 7 business days.
6.3 Seller Payouts & Settlement Cycle
Seller payouts are processed within 2 to 3 business days from the date of confirmed delivery. Payments are transferred directly to the Seller's registered and verified bank account. The Company reserves the right to hold settlements in cases of active disputes, suspected fraud, or regulatory investigation.
6.4 TCS Deduction
As mandated by Section 52 of the CGST Act, 2017, the Company deducts 1% TCS (Tax Collected at Source) from the net value of each transaction before disbursing the Seller's payout. A TCS certificate is made available to each Seller monthly through the Seller Dashboard, which can be used to claim credit against their GST liability.
Order Management & Fulfillment
7.1 Order Confirmation
An Order is considered confirmed once the Buyer receives an order confirmation email/SMS and the Seller receives an order notification via the Seller Dashboard. The Company acts as an intermediary and facilitates the transaction. The contract of sale is between the Buyer and the Seller; the Company is not a party to this contract.
7.2 Shipping & Delivery
Sellers are responsible for packaging and handing over orders to the designated logistics partner within the committed dispatch window. Estimated delivery timelines vary by location and are displayed at checkout. The Company is not liable for delays caused by logistics partners, natural calamities, government restrictions, or Force Majeure events.
7.3 Non-Delivery & Lost Shipments
In the event that an Order is not delivered within the maximum promised timeline, Buyers may raise a 'Non-Delivery' complaint through the Platform. The Company will investigate with the logistics partner and initiate a refund or re-shipment as appropriate. Lost-in-transit orders are covered under the Company's Logistics Protection Policy.
Returns, Refunds & Our Verified Return System
8.1 Return Policy Overview
Return requests must be initiated within the return window specified at the time of purchase (typically 7 days from delivery date). Not all products are eligible for returns; non-returnable items are clearly marked on the product page.
8.2 Valid Reasons for Return
- Product received is significantly different from the description or images on the listing.
- Product received is defective, damaged during transit, or has a manufacturing defect.
- Wrong size delivered, not matching the ordered size.
- Wrong product delivered, meaning a different item than what was ordered.
- Product received is incomplete (missing parts, accessories, or components).
8.3 The Clothes Bazzar Verified Return System
To protect Sellers from fraudulent returns, Clothes Bazzar operates a multi-layer Verified Return System:
- Video-Verified Pickup: The return courier captures an unboxing video at the Buyer's doorstep at the time of pickup.
- Tamper-Evident Packaging: Each dispatched order carries a unique QR-coded tamper seal. A broken or missing seal at return triggers an automatic investigation.
- Warehouse Quality Check (QC): Returned items are inspected at the returns processing centre before a refund is approved.
- Mismatch Detection: If the returned product does not match the original ordered item, the return is rejected and the Seller is protected.
- Buyer Return History: Buyers with a pattern of fraudulent return activity are flagged, restricted, and potentially banned.
8.4 Refund Processing
Approved refunds are processed within 5 to 7 business days to the original payment method. For Cash on Delivery orders, refunds are credited to the Buyer's bank account or a Platform wallet as designated. Seller payouts for returned orders are adjusted in the subsequent settlement cycle.
Prohibited Activities
The following activities are strictly prohibited and may result in immediate account suspension, permanent ban, and/or legal action:
- Creating fake accounts, impersonating another person or business, or providing false registration information.
- Manipulating product ratings, reviews, or feedback, including incentivizing fake reviews or suppressing legitimate negative reviews.
- Conducting transactions outside the Platform to evade commission payments.
- Using the Platform to transmit spam, phishing messages, unsolicited promotional content, or malware.
- Attempting to reverse-engineer, decompile, hack, or otherwise interfere with the Platform's software or security.
- Using automated bots, scrapers, or scripts to access the Platform without prior written consent.
- Price gouging, meaning artificially inflating prices during high-demand periods or supply-constrained conditions.
- Engaging in any activity that violates applicable Indian law, including the IT Act 2000, Consumer Protection Act 2019, or GST laws.
- Uploading or distributing content that is obscene, defamatory, threatening, harassing, or otherwise harmful.
- Coordinating with other Sellers or Buyers to manipulate search rankings, pricing, or review scores.
Intellectual Property
All content on the Platform, including the Clothes Bazzar name and logo, design elements, software code, UI/UX design, marketing copy, photographs, and data compilations, is the exclusive intellectual property of the Company or its licensors, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international IP laws.
Sellers retain ownership of their original product photographs and descriptions uploaded to the Platform but grant the Company a perpetual, royalty-free, worldwide, sub-licensable license to display, reproduce, and promote such content for the purpose of operating and marketing the Platform.
Unauthorized reproduction, redistribution, or use of any Platform content, including scraping, copying, or downloading bulk data, without prior written consent from the Company is strictly prohibited and may constitute copyright infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
- Any loss of data, revenue, profits, goodwill, or business opportunity arising out of or related to these Terms.
- The acts or omissions of any Seller, Buyer, logistics partner, or third party on the Platform.
- Errors, inaccuracies, or omissions in product listings provided by Sellers.
- Service interruptions, downtime, security breaches, or technical failures beyond the Company's reasonable control.
- Any product defect, quality issue, or mismatch, as the Company is a marketplace and not the manufacturer or Seller of goods.
The Company's total aggregate liability to any User shall not exceed the value of the specific Order giving rise to the claim. Nothing in these Terms shall exclude liability for death, personal injury, fraud, or any other liability that cannot be lawfully excluded under Indian law.
Dispute Resolution & Grievance Redressal
12.1 Internal Dispute Resolution
In the event of any dispute between a Buyer and a Seller, the Company will act as a neutral mediator and attempt to resolve the dispute through its internal dispute resolution mechanism. Both parties must submit their evidence (photographs, videos, correspondence) within 72 hours of the dispute being raised. The Company's decision on disputes resolved through this mechanism shall be final and binding on both parties.
12.2 Grievance Officer
In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, the Company has appointed a Grievance Officer:
12.3 Arbitration
Any dispute that cannot be resolved through the internal mechanism shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator. The seat of arbitration shall be Surat, Gujarat, India. The language of arbitration shall be English.
GST, Taxation & TCS Compliance
The Company operates as an e-commerce operator as defined under the CGST Act, 2017. Accordingly, the Company is required to collect TCS at the rate of 1% on the net value of taxable supplies made through the Platform. Sellers are responsible for their own GST compliance, including registration, filing, and payment of applicable GST on their supplies. The Company provides GST-compliant invoices, settlement statements, and TCS certificates to assist Sellers in meeting their tax obligations. The Company is not a tax advisor and Sellers are advised to consult a qualified CA for their specific tax requirements.
Platform Modifications & Account Suspension
The Company reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time with or without prior notice. The Company may update these Terms at any time. Material changes will be communicated via registered email or a prominent notice on the Platform. Continued use of the Platform after such notification constitutes acceptance of the updated Terms.
The Company may suspend or terminate any User account at its sole discretion for violation of these Terms, applicable laws, or for any other reason deemed necessary to protect the Platform, other Users, or third parties. Upon termination, the User's right to access the Platform ceases immediately. Outstanding Seller payouts for legitimate completed orders will be settled per the standard settlement cycle.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause in Section 12, the courts of Surat, Gujarat, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Platform. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
